1. INTRODUCTION

These Buyer Terms & Conditions (“Terms”) govern the relationship between 1001689754 Ontario Inc. operating as PatchLead (“PatchLead,” “Company,” “we,” “us,” or “our”) and businesses, contractors, and service providers (“Buyer,” “you,” or “your”) that access or use the PatchLead platform. By creating an account, funding a wallet, accepting Qualified Calls, or otherwise using the PatchLead platform, you agree to be legally bound by these Terms. These Terms form a binding agreement between PatchLead and the Buyer. If you do not agree with these Terms, you must not create an account, access the platform, or receive consumer connections through PatchLead.

2. ABOUT PATCHLEAD

PatchLead operates a technology-based lead generation and call connection platform that connects consumers seeking home services with independent service providers. PatchLead may facilitate connections involving services such as:

  • Plumbing;
  • HVAC;
  • Cleaning;
  • Home improvement;
  • Maintenance; and
  • Other related home services. PatchLead does not provide the underlying home services. Buyers are independent businesses responsible for:
  • Their services;
  • Pricing;
  • Employees and contractors;
  • Licensing;
  • Insurance;
  • Customer agreements;
  • Work quality;
  • Compliance with applicable laws and regulations. PatchLead does not act as the Buyer's employee, partner, agent, contractor, or representative.

3. DEFINITIONS

For purposes of these Terms:

3.1 “Buyer”

“Buyer” means an independent business, contractor, company, or service provider that registers with PatchLead to receive consumer calls, leads, or service opportunities.

3.2 “Consumer”

“Consumer” means an individual seeking a home service connection through PatchLead’s consumer websites, forms, telephone systems, or other channels.

3.3 “Lead”

“Lead” means information relating to a consumer service request that may be provided to a Buyer for the purpose of facilitating a potential service opportunity.

3.4 “Qualified Call”

A “Qualified Call” means a consumer call or connection that satisfies the qualification criteria applicable to the relevant service category, Buyer account, campaign, or platform configuration. Qualification criteria may include factors such as:

  • Requested service type;
  • Geographic location;
  • Consumer intent;
  • Call duration;
  • Connection status;
  • Service requirements;
  • Other criteria configured by PatchLead. Qualification criteria may differ between service categories and Buyers.

3.5 “Wallet”

“Wallet” means the prepaid account balance maintained by a Buyer for purchasing Qualified Calls or other PatchLead services.

3.6 “Platform”

“Platform” means PatchLead’s websites, systems, dashboards, technology infrastructure, communication systems, and related services used to provide consumer connections.

4. BUYER ELIGIBILITY AND ACCOUNT REQUIREMENTS

To use the PatchLead platform, Buyer must:

  • Be a legally operating business or service provider;
  • Provide accurate registration information;
  • Maintain required licenses, permits, certifications, and insurance where applicable;
  • Have authority to enter into these Terms;
  • Comply with all applicable laws and regulations. Buyer represents that all information provided to PatchLead is accurate, complete, and current. PatchLead may request additional information to verify Buyer identity, business status, service area, qualifications, or compliance requirements.

5. BUYER ACCOUNT REGISTRATION

Buyers must create an account before receiving consumer connections through PatchLead. During registration, Buyer may be required to provide:

  • Business name;
  • Contact information;
  • Service categories;
  • Service locations;
  • Billing information;
  • Account administrator details;
  • Other information reasonably required by PatchLead. Buyer is responsible for maintaining accurate account information. Buyer must promptly update information if any material change occurs.

6. ACCOUNT SECURITY AND ACCESS

Buyer is responsible for maintaining the confidentiality and security of:

  • Account credentials;
  • Login information;
  • Dashboard access;
  • Authorized user permissions. Buyer must:
  • Use reasonable security measures;
  • Prevent unauthorized account access;
  • Notify PatchLead promptly of suspected unauthorized access;
  • Ensure authorized users comply with these Terms. Buyer is responsible for all activity conducted through its account unless caused by PatchLead’s own unauthorized action.

7. PATCHLEAD PLATFORM USE

PatchLead provides Buyers with access to a technology platform designed to facilitate consumer connections. The platform may include:

  • Consumer lead information;
  • Call transfers;
  • Qualified Call opportunities;
  • Billing records;
  • Wallet management;
  • Account information;
  • Performance information. PatchLead may modify, improve, suspend, or update platform features from time to time to maintain, improve, or secure the platform.

8. BUYER RESPONSIBILITY FOR CONSUMER RELATIONSHIPS

Once a consumer connection is provided to Buyer, Buyer is responsible for all interactions with that consumer. Buyer is responsible for:

  • Communicating professionally;
  • Providing accurate information;
  • Following applicable consumer protection laws;
  • Providing services as represented;
  • Handling pricing, contracts, warranties, and disputes directly with the consumer. PatchLead is not responsible for:
  • The quality of Buyer's services;
  • Consumer satisfaction with Buyer;
  • Pricing decisions;
  • Completion of work;
  • Disputes between Buyer and consumer.

9. WALLET FUNDING AND PAYMENTS

Buyers must maintain sufficient wallet balance to receive Qualified Calls or access applicable PatchLead services. The Wallet operates as a prepaid account system used for billing Qualified Calls and other applicable platform charges.

9.1 Wallet Funding

Buyers may add funds to their Wallet through PatchLead’s approved payment methods. All Wallet funding amounts are processed in accordance with the payment methods and payment processor requirements made available by PatchLead. PatchLead does not store complete payment-card information where payment details are entered directly through a third-party payment processor.

9.2 Currency

All charges, Wallet funding amounts, Qualified Call charges, credits, and refunds under these Terms are denominated in: Canadian Dollars (CAD) unless otherwise expressly agreed by PatchLead in writing.

9.3 Taxes

Applicable taxes, including GST/HST or other taxes required by applicable law, may be added to Buyer charges. Buyer is responsible for:

  • Paying applicable taxes associated with its use of the PatchLead platform;
  • Providing accurate billing information;
  • Maintaining any required tax registrations;
  • Complying with applicable tax obligations. PatchLead will collect and remit taxes where required by applicable law.

9.4 Wallet Balance Usage

Wallet funds may be used for:

  • Qualified Call charges;
  • Applicable platform fees;
  • Other charges disclosed by PatchLead. Wallet balances are not:
  • Transferable between Buyer accounts;
  • Exchangeable for cash except as expressly provided in these Terms;
  • A deposit, investment, or financial account.

9.5 Failed Payments and Negative Balances

If a payment fails, is reversed, charged back, or otherwise becomes invalid, PatchLead may:

  • Suspend Buyer access;
  • Restrict call delivery;
  • Deduct amounts from available Wallet balance;
  • Require additional payment;
  • Recover amounts owed. Buyer remains responsible for all valid charges incurred through its account.

10. QUALIFIED CALL BILLING

PatchLead charges Buyers for Qualified Calls according to the pricing applicable to the Buyer account, service category, campaign, or platform configuration. Pricing may vary depending on:

  • Service category;
  • Geographic area;
  • Buyer preferences;
  • Campaign settings;
  • Qualification criteria;
  • Market conditions.

10.1 Configurable Pricing

Buyers acknowledge that Qualified Call pricing may be configured differently for different service categories and Buyers. PatchLead may establish pricing based on factors including:

  • Call duration;
  • Consumer qualification;
  • Service type;
  • Geographic location;
  • Buyer requirements. Applicable pricing will be displayed or communicated through the Buyer dashboard, account information, or other PatchLead communication methods.

10.2 When Charges Apply

A Qualified Call charge may apply when:

  • A consumer request satisfies applicable qualification criteria;
  • A qualifying call is transferred or connected;
  • The applicable billing conditions are met. Qualification criteria may include a minimum conversation duration or other measurable requirements established by PatchLead.

10.3 Buyer Review of Charges

Buyer may review applicable billing information through available account tools or records provided by PatchLead. Buyer is responsible for monitoring:

  • Wallet balance;
  • Account activity;
  • Qualified Call charges;
  • Billing records.

11. DISPUTE SUBMISSION PROCESS

Buyer may submit a dispute regarding a Qualified Call charge if Buyer believes the charge does not satisfy the applicable qualification requirements.

11.1 Dispute Deadline

All disputes must be submitted within: Two (2) business days after the applicable call transfer. Disputes submitted after this period may be rejected unless PatchLead determines that exceptional circumstances exist.

11.2 Required Dispute Information

A dispute request should include sufficient information for PatchLead to review the matter, including:

  • Buyer account details;
  • Relevant call information;
  • Reason for dispute;
  • Supporting information or evidence;
  • Any other information reasonably requested by PatchLead.

11.3 Dispute Review

PatchLead will review submitted disputes based on:

  • Call records;
  • Qualification criteria;
  • Available recordings;
  • Account information;
  • Applicable platform rules. PatchLead may:
  • Approve the dispute;
  • Provide a partial credit;
  • Provide a full credit;
  • Reject the dispute. PatchLead’s review determination will be based on the information reasonably available at the time of review.

12. REFUNDS AND WALLET CREDITS

Approved adjustments may be provided as Wallet credits unless PatchLead determines another refund method is appropriate. Credits may result from:

  • Approved disputes;
  • Billing corrections;
  • Platform adjustments;
  • Other approved account changes.

12.1 Unused Wallet Balance Upon Account Closure

If Buyer closes its account, any remaining unused Wallet balance may be eligible for refund after deducting:

  • Valid outstanding Qualified Call charges;
  • Amounts owed to PatchLead;
  • Approved fees;
  • Pending disputes;
  • Chargebacks;
  • Other amounts properly payable by Buyer. The refundable amount will be calculated as: Remaining Wallet Balance − Valid Outstanding Amounts = Eligible Refund Balance

12.2 Refund Process

Where a refund is approved:

  • PatchLead may verify Buyer account ownership;
  • Refunds may be processed through the original payment method where possible;
  • Alternative refund methods may be used where appropriate;
  • Processing time may vary depending on the payment provider.

12.3 No Refund for Used Services

Amounts already applied to valid Qualified Calls or other properly charged services are not refundable.

13. BUYER OBLIGATIONS AND ACCEPTABLE USE

Buyer agrees to use the PatchLead platform responsibly, professionally, and in compliance with these Terms and all applicable laws. Buyer must:

  • Provide accurate and complete information;
  • Maintain valid account information;
  • Use consumer information only for legitimate service-related purposes;
  • Provide professional and lawful services;
  • Maintain required licenses, permits, certifications, and insurance;
  • Comply with consumer protection requirements;
  • Respect consumer communication preferences;
  • Protect confidential information received through PatchLead.

13.1 Prohibited Activities

Buyer must not:

  • Use consumer information for unrelated marketing or resale purposes;
  • Sell, transfer, or provide consumer information to unauthorized third parties;
  • Misrepresent services, pricing, qualifications, or business identity;
  • Submit false disputes;
  • Attempt to manipulate Qualified Call measurements;
  • Interfere with PatchLead systems;
  • Circumvent platform billing;
  • Use the platform for unlawful purposes;
  • Collect or use information in violation of applicable privacy laws. PatchLead may suspend or terminate access where it reasonably believes Buyer has engaged in prohibited activity.

14. CONSUMER INFORMATION AND PRIVACY OBLIGATIONS

Buyer acknowledges that consumer information received through PatchLead is provided for the purpose of facilitating the requested service connection. Buyer must handle consumer information responsibly and in accordance with applicable privacy laws. Buyer agrees to:

  • Use consumer information only for the requested service opportunity;
  • Protect consumer information from unauthorized access;
  • Maintain appropriate security measures;
  • Limit access to authorized personnel;
  • Avoid unauthorized disclosure;
  • Delete or dispose of information when no longer required.

14.1 Independent Privacy Responsibilities

Buyer acknowledges that, after receiving consumer information from PatchLead, Buyer may have independent responsibilities under applicable privacy and communication laws. These responsibilities may include:

  • Providing appropriate privacy notices;
  • Obtaining required consent;
  • Protecting personal information;
  • Handling consumer requests;
  • Maintaining compliance records. PatchLead does not assume responsibility for Buyer's independent privacy obligations.

15. COMMUNICATION AND TELEMARKETING COMPLIANCE

Buyer is responsible for ensuring that its communications with consumers comply with applicable laws and regulations. This includes, where applicable:

  • Telephone solicitation requirements;
  • Do-not-call obligations;
  • Commercial electronic message requirements;
  • Consent requirements;
  • Caller identification requirements;
  • Communication frequency restrictions;
  • Consumer opt-out requests. Buyer must not use PatchLead consumer information for communications beyond the purpose for which the information was provided unless legally permitted and properly authorized.

15.1 CASL Compliance

Where Buyer sends commercial electronic messages, Buyer is responsible for complying with Canada's Anti-Spam Legislation (CASL), including requirements relating to:

  • Consent;
  • Identification;
  • Unsubscribe mechanisms;
  • Record keeping.

15.2 Telephone Communications

Where Buyer contacts consumers by telephone, Buyer is responsible for complying with applicable telecommunications requirements. Buyer must maintain appropriate records of:

  • Consent where required;
  • Communication preferences;
  • Do-not-call requests;
  • Contact history. PatchLead may require Buyer to provide compliance information where reasonably necessary.

16. AI, AUTOMATED CALLS, AND RECORDING REQUIREMENTS

If Buyer uses automated systems, AI voice technology, prerecorded messages, or similar communication tools after receiving a consumer connection, Buyer is responsible for ensuring compliance with applicable laws. Buyer must:

  • Provide required disclosures;
  • Obtain required consent;
  • Follow applicable calling restrictions;
  • Respect consumer opt-out requests;
  • Maintain required records. Buyer must not represent that PatchLead authorized any communication method that violates applicable law.

17. CALL RECORDINGS AND QUALITY REVIEW

Buyer acknowledges that calls facilitated through PatchLead may be recorded by PatchLead for purposes including:

  • Qualified Call verification;
  • Billing;
  • Dispute resolution;
  • Quality assurance;
  • Security;
  • Legal compliance. Buyer agrees that PatchLead may review relevant call records when necessary to:
  • Evaluate disputes;
  • Verify charges;
  • Investigate misuse;
  • Maintain platform integrity. Buyer must not attempt to disable, interfere with, or manipulate PatchLead recording or verification systems.

18. SERVICE QUALITY AND CONSUMER RELATIONSHIP

Buyer is solely responsible for the services it provides to consumers. Buyer is responsible for:

  • Accurate service descriptions;
  • Pricing discussions;
  • Estimates and quotations;
  • Contracts with consumers;
  • Workmanship;
  • Scheduling;
  • Warranties;
  • Complaints;
  • Refunds or remedies related to its services. PatchLead does not guarantee:
  • Consumer acceptance;
  • Conversion into a customer relationship;
  • Revenue;
  • Availability of service opportunities;
  • Consumer satisfaction.

19. LICENSING, INSURANCE, AND BUSINESS COMPLIANCE

Buyer represents that it maintains all licenses, permits, registrations, certifications, and insurance required for its business operations. Buyer must comply with:

  • Applicable provincial and local regulations;
  • Industry requirements;
  • Professional standards;
  • Consumer protection obligations. PatchLead may request evidence of compliance where reasonably necessary.

20. BUYER DATA AND ACCOUNT RECORDS

Buyer is responsible for maintaining accurate account information and reviewing its platform activity. Buyer should regularly review:

  • Wallet balance;
  • Billing history;
  • Account users;
  • Service categories;
  • Communication settings. PatchLead may rely on information associated with the Buyer account unless Buyer has notified PatchLead of an update.

21. SUSPENSION AND ACCOUNT RESTRICTIONS

PatchLead may suspend, restrict, or limit Buyer access where reasonably necessary to:

  • Protect consumers;
  • Protect the platform;
  • Investigate suspected misuse;
  • Address unpaid balances;
  • Prevent fraud;
  • Address security concerns;
  • Ensure legal compliance. Where appropriate, PatchLead may provide notice before suspension. However, PatchLead may immediately restrict access where delay could create risk to consumers, the platform, or legal compliance.

22. TERMINATION OF BUYER ACCOUNT

Either Buyer or PatchLead may terminate the account in accordance with these Terms.

22.1 Buyer Termination

Buyer may request account closure by following PatchLead’s account closure process. Before closure:

  • Outstanding charges must be paid;
  • Pending disputes may be reviewed;
  • Remaining Wallet balance will be handled according to Section 12.

22.2 PatchLead Termination

PatchLead may terminate or suspend Buyer access where Buyer:

  • Violates these Terms;
  • Misuses consumer information;
  • Fails to pay amounts owed;
  • Provides inaccurate information;
  • Engages in unlawful activity;
  • Creates risk for consumers or the platform.

22.3 Effect of Termination

After termination:

  • Buyer access may be disabled;
  • Unused Wallet balances will be handled according to these Terms;
  • Confidentiality obligations continue;
  • Privacy obligations continue;
  • Outstanding payment obligations remain due.

23. CONFIDENTIALITY AND PROTECTION OF INFORMATION

Each party may receive confidential information belonging to the other party while using or providing services through the PatchLead platform. Confidential information may include:

  • Business information;
  • Pricing information;
  • Platform information;
  • Consumer information;
  • Technical information;
  • Account information;
  • Operational information. Each party agrees to:
  • Protect confidential information from unauthorized disclosure;
  • Use confidential information only for legitimate purposes;
  • Limit access to individuals who need the information;
  • Take reasonable security measures to protect the information. Confidential information does not include information that:
  • Is publicly available without breach of these Terms;
  • Was lawfully known before disclosure;
  • Is independently developed without using confidential information;
  • Is received lawfully from another source without confidentiality obligations.

24. INTELLECTUAL PROPERTY RIGHTS

PatchLead and its licensors retain all rights, title, and interest in:

  • The PatchLead platform;
  • Software;
  • Systems;
  • Technology;
  • Website content;
  • Branding;
  • Processes;
  • Documentation;
  • Platform features. Buyer receives a limited, non-exclusive, non-transferable right to use the platform solely for receiving and managing consumer connections in accordance with these Terms. Buyer must not:
  • Copy or reproduce PatchLead technology;
  • Reverse engineer the platform;
  • Modify platform systems;
  • Remove ownership notices;
  • Use PatchLead branding without permission.

25. INDEPENDENT BUSINESS RELATIONSHIP

Buyer and PatchLead are independent parties. Nothing in these Terms creates:

  • Partnership;
  • Joint venture;
  • Employment relationship;
  • Agency relationship;
  • Franchise relationship. Buyer has no authority to represent that it acts on behalf of PatchLead. Buyer is solely responsible for:
  • Employees;
  • Contractors;
  • Taxes;
  • Insurance;
  • Licensing;
  • Business operations.

26. REPRESENTATIONS AND WARRANTIES

Buyer represents and warrants that:

  • It has authority to enter into these Terms;
  • Information provided to PatchLead is accurate;
  • It operates a legitimate business;
  • It complies with applicable laws;
  • It has required licenses and approvals;
  • It will use consumer information appropriately. PatchLead provides the platform on an “as available” basis and does not guarantee:
  • A minimum number of leads;
  • A specific number of Qualified Calls;
  • Business results;
  • Consumer conversion rates;
  • Uninterrupted platform availability.

27. DISCLAIMER REGARDING SERVICE PROVIDERS

PatchLead is a technology and connection platform. PatchLead does not:

  • Perform home services;
  • Supervise Buyer employees;
  • Guarantee Buyer qualifications;
  • Guarantee service quality;
  • Guarantee consumer satisfaction. Consumers are responsible for evaluating and selecting service providers. Buyer remains solely responsible for services provided to consumers.

28. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, PatchLead will not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

  • Loss of profits;
  • Loss of business opportunities;
  • Loss of reputation;
  • Consumer disputes;
  • Service provider performance;
  • Business interruptions;
  • Use or inability to use the platform. PatchLead’s total liability arising out of or relating to these Terms will not exceed the amounts paid by Buyer to PatchLead during the three (3) months immediately preceding the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited under applicable law.

29. BUYER INDEMNIFICATION

Buyer agrees to defend, indemnify, and hold harmless PatchLead, its officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, and expenses arising from:

  • Buyer's services;
  • Buyer's communications with consumers;
  • Buyer's violation of these Terms;
  • Buyer's violation of applicable laws;
  • Buyer's misuse of consumer information;
  • Buyer's negligence or misconduct;
  • Claims arising from services provided by Buyer. PatchLead will provide reasonable notice of any indemnifiable claim.

30. PRIVACY AND DATA PROTECTION COMPLIANCE

Buyer acknowledges that consumer information received through PatchLead may constitute personal information under applicable privacy laws. Buyer agrees to:

  • Handle consumer information only for legitimate service-related purposes;
  • Protect information using appropriate safeguards;
  • Comply with privacy and communications laws;
  • Respond appropriately to consumer privacy requests;
  • Notify PatchLead of any unauthorized disclosure involving PatchLead-provided information where required. Nothing in these Terms transfers PatchLead’s legal responsibilities to Buyer where PatchLead remains responsible under applicable law.

31. COMPLIANCE WITH LAWS

Buyer agrees to comply with all applicable laws and regulations, including where applicable:

  • Privacy legislation;
  • Consumer protection laws;
  • Telecommunications requirements;
  • Anti-spam laws;
  • Licensing requirements;
  • Advertising rules;
  • Industry-specific requirements. Buyer is responsible for understanding the legal requirements applicable to its own business activities.

32. CHANGES TO THESE TERMS

PatchLead may update these Terms from time to time to reflect:

  • Changes to platform operations;
  • Business changes;
  • Legal requirements;
  • Security improvements;
  • New features or services. Where changes materially affect Buyer obligations, PatchLead may provide notice through:
  • Email;
  • Buyer dashboard;
  • Platform notification;
  • Other reasonable communication methods. Continued use of the platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

33. NOTICES

Notices relating to these Terms may be provided electronically. PatchLead may send notices through:

  • Email associated with the Buyer account;
  • Buyer dashboard;
  • Platform notifications;
  • Other contact information provided by Buyer. Buyer must maintain accurate contact information.

34. ASSIGNMENT

Buyer may not transfer or assign these Terms or its account rights without PatchLead’s prior written consent. PatchLead may assign these Terms as part of:

  • A merger;
  • Acquisition;
  • Corporate restructuring;
  • Sale of assets;
  • Business transfer.

35. FORCE MAJEURE

PatchLead will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Internet failures;
  • Telecommunications failures;
  • Government actions;
  • Cybersecurity incidents;
  • Third-party service interruptions;
  • Other events beyond reasonable control.

36. SURVIVAL

The following provisions survive termination of these Terms:

  • Payment obligations;
  • Confidentiality;
  • Privacy obligations;
  • Intellectual property rights;
  • Indemnification;
  • Limitation of liability;
  • Dispute provisions;
  • Other provisions intended by their nature to survive.

37. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws applicable in the Province of Ontario, Canada, unless applicable mandatory law requires otherwise. The parties agree to attempt good-faith resolution of disputes before initiating formal proceedings. Nothing in these Terms limits any rights that cannot legally be excluded under applicable consumer or mandatory laws.

38. SEVERABILITY

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

39. ENTIRE AGREEMENT

These Terms, together with any applicable platform agreements, pricing information, and referenced policies, constitute the entire agreement between PatchLead and Buyer regarding use of the platform.
